On behalf of AOC, the leading global manufacturer and supplier of unsaturated polyester and vinyl ester resins, gelcoats and specialty materials used for the composites industry headquartered in Collierville (TN, USA) and Schaffhausen (Switzerland), we are seeking as of 01.05.2022 or earlier a Paralegal 100% based in Schaffhausen (working from home possible for 2 days/week):

 

Responsibilities:

  • Reporting to the Legal Counsel EMEA, provide legal and paralegal support and assistance to the Legal Department in order to facilitate the group’s business and corporate governance needs
  • Independently draft and review simpler agreements and other legally relevant documents to the extent legal templates are available
  • Under the supervision of Legal Counsel, prepare, review and collect all types of agreements and other legal documents, including amendments, legal letters and other correspondence, coordinate all aspects of project intake and tracking, and assume responsibility for the maintenance of the project files and filing
  • Review and analyze documents submitted to the Legal Department
  • Coordinate specific assignments with external counsel or other advisors, review preliminary advice and provide recommendations to Legal Counsel
  • Provide legal and administrative support regarding corporate governance, corporate housekeeping, compliance, contract management, legal archiving and assigned projects
  • Establish, maintain and ensure timely and accurate filing and archiving for all contracts, documents and projects, including project status spreadsheet
  • Perform legal research
  • Handle, support and coordinate contacts, and act as liaison, with internal and external stakeholders, external counsel and other advisors, government agencies, authorities and industry associations
  • Provide company secretarial support, including drafting of agendas and minutes of general assemblies and board of director meetings; ensuring that entries in the commercial and land registries are up-to-date
  • Responsible for coordinating all aspects of the Legal Department’s timely, complete and accurate responses to numerous simultaneous requests in project matters
  • Help ensure that the group and its business activities comply with applicable laws and regulations

 

Requirements:

  • Matura degree or equivalent as well as a paralegal or similar certificate
  • At least 5 years’ relevant work experience as paralegal in the Legal Department of a multinational chemical (or similar industry) group or at an international law or consulting firm; at least 3 years of this experience must have been gained in Switzerland
  • Excellent skills in MS Office (Word, Outlook, Excel, PowerPoint)
  • Very good command of English and German (each at least level C1); other major European languages would be a plus
  • Experience in handling corporate housekeeping, contract management and administrative tasks, as well as drafting simple legal agreements (first under supervision, thereafter independently)
  • Strong research and analytical skills
  • Ability to work in a team environment and report regularly to the Legal Counsel EMEA
